By accessing and using Prism (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Prism provides AI-powered marketing strategy and production-ready ad generation tools. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3. User Accounts

You are responsible for maintaining the security of your account and password. You are fully responsible for all activities that occur under your account.

4. AI-Generated Content

Ownership: You retain ownership of the inputs you provide. Subject to applicable laws, you own the output generated by the Service to the extent permitted by law.

Accuracy: The Service uses artificial intelligence to generate content. AI may produce inaccurate or offensive content. You are responsible for reviewing and verifying all generated content before using it.

5. Subscription & Payments

Service is billed on a subscription basis. You agree to pay all fees associated with your chosen subscription plan. Payments are processed securely via Stripe.

Refund Policy: We offer refunds only for the value of unused credits remaining in your account balance at the time of the request. Credits already consumed are non-refundable.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRISM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

8. Third-Party Services Disclaimer

Prism relies on third-party services including Clerk for authentication, Google OAuth for sign-in, Stripe for payments, and various AI providers for content generation.

9. Indemnification

You agree to indemnify, defend, and hold harmless Prism and its officers, directors, employees, and agents from any claims arising out of your use of the Service.

10. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the State of Delaware, United States. You agree to submit to the exclusive jurisdiction of the courts located in Delaware.

11. Dispute Resolution & Arbitration

Any dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA).

12. International Users

If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

13. Force Majeure

Prism shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
